Redcarpetcleb.com  (RCC)  is a social network designed to connect actors, models, promoters, directors, and individuals of exceptional talent.RCC is fully owned and operated by Jenkins & Co., L.L.C.  which is a registered North Carolina limited liability company. Redcarpetcleb.com Services (RCC Services) shall be defined as any URL related, directly or indirectly, to www.redcarpetceleb.com and shall also include any email, message, or related service. 
This agreement shall constitute your agreement to the use of RCC Services. This agreement can be modified or amended at any time. The term “Use” shall include Guests (Persons who have not registered for RCC Services but are allowed access to any URL, email, message board or similar service) and Registered Users (persons who have registered for RCC Services and have completed the registration process). Any Use of RCC Services shall constitute your full willingness to abide by all terms of this agreement, and the willingness to comply with all laws and regulations you are subject to. Each User shall be responsible for understanding any modifications to this agreement. Each user agrees to fully comply with any modifications to this agreement. 
Each Use of RCC Services constitutes acceptance and understanding of the modified terms.  User shall immediately discontinue the Use of RCC Services if they disagree with any RCC User Terms.  

All Users also agree and understand that: 
RCC Services can be restricted, eliminated or changed at any time;
Users can only include photos, text, or content that they have a right to post by U.S or other applicable law;
Users cannot send spam messages;
Users cannot solicit commercial services, collect RCC User Data for soliciting, or use software to write/post any commercial message or email;
Any message may be restricted or deleted for any reason or for no reason at all;
You may not upload inappropriate content or malicious software;
You may only create one RCC account; 

Future service:
There is no guarantee or right to future service or use; 
These terms may be updated or modified at any time without notice; 
Users have a tight to terminate their account at any time;
RCC Service may have an associated fee in the future and users have the option to close the account if they do not wish to pay the fees;

There may be service maintenance at any time and services are never guaranteed;
RCC reserves the right to charge a fee for membership services; if a fee is charged users have the right to close an existing account without being subject to the fee; 
RCC may terminate any User account at any time without notification, warning, justification or liability; 
RCC may refuse, restrict and/or limit a User’s access to any posts, message, or services at any time and without warning or notice;
RCC will not issue a refund (if applicable) to members who have breached any part of this agreement even if their account privilege has been revoked; 

Responsibilities of Users: 
Passwords and usernames are to be kept confidential; 
Users must notify the network administrator if the password is lost;
Users may not use any content in a way that violates copyright or trademark laws; 
Users cannot use RCC content for any other purpose than proscribed herein;
Users have a continuing obligation to be truthful with regard to the information provided; 

Restrictions on Use:
Users cannot use RCC for any commercial use to solicit or promote anything without the express written consent of RCC;
RCC has the right to limit, restrict or eliminate any user content, blogs, messages, or posts for any reason without notice or justification; 

Users maintain right to content, however, Users grant a limited license to RCC to use, modify, or publish User’s content for promoting services provided to other users; 
RCC is not obligated to pay a royalty fee or any other charge for publishing or using User’s content to promote RCC services; 
RCC reserves all copyright to its content, however, a limited revocable right to display and view RCC content is given to users which cannot be sold or sublicensed;

By posting content you agree you have the rights to the content; 
If you do not own the content you post or display you agree to pay any royalties or money owed to any third party and you agree to indemnify any sum paid by RCC;
Users may not use RCC services to for any purpose involving harassment, violence, sexually explicit material, material which invades another person’s privacy, illegal material, material which is copyright protected, or spam messages, 
Users cannot copy, publish, retain, sell, distribute, broadcast, display or otherwise use RCC content for any use other than provided for herein;

You agree to give RCC a license to publish and use any content provided by you for the purposes of furthering the RCC social network or for other solicitations, messages, or applications promoting RCC services;
The license you give to RCC shall be fully transferable or assignable by RCC for the purpose of an acquisition, a merger, a sale of assets or any other change in business operations. 

Third party services:
RCC may send you notifications, including but not limited to: solicitations, publications, email messages, or other online communication;
RCC reserves the right to send any message to users regarding services or third party services; 

Liability Disclosures:
RCC does not have the obligation to remove or disallow inappropriate content but may do so at its discretion;
Users are solely responsible for any content which is posted;
 You agree to indemnify any money loss RCC incurs as a result of an inappropriate post, message, upload, or related publication;  
Contact network administrator if there is an apparent copyright infringement of your material however RCC is not responsible or liable for the said infringement;

RCC has no obligation to resolve User disputes but reserves the right to become involved;
Any failure to enforce a provision or statement in this agreement shall not be considered a waiver of the right to do so; 
If any portion of this agreement is found to be unenforceable the remainder of the agreement will remain in force; 

Privacy:
RCC may collect information you provide about yourself in connection with your application for offers and solicitations relevant to you; 
The purpose of RCC is to share and provide information about users to potential employers thus information provided to RCC shall be available to other members including information about friends and member affiliations; 
RCC collects information about your friends and other actions you take using the website; 
RCC may use information collected from you to offer you or your friends solicitations about RCC services or third party services and offers;
RCC may allow you to suggest RCC services to friends through facebook or email; RCC will send a message on your behalf regarding RCC services; 
RCC may contact you regarding services or third party services which are being offered to you; 
RCC may publish your activities, posts, or your profile page to other members; 
RCC may collect information about transactions you make with RCC or third parties;
You may not collect any information about other RCC users without the express written consent of RCC; 

Uploads: 
RCC may upload videos to youtube when “Promote to Youtube” has been selected upon uploading the video to redcarpetceleb.com. When selecting “Promote to Youtube” users pledge  that they own all rights to the uploaded video including but not limited to all video and audio content. These videos will be uploaded to youtube.com to promote RCC users’ video(s) among youtube.com users. However, RCC users’s videos may be uploaded to youtube.com for any purpose. 
When selecting “Promote to Youtube” you are providing RCC a license to use the video on youtube.com for any purpose . You also permit RCC to receive income, royalties and other income from “monetizing” the video on youtube.com. You also agree that all videos uploaded to youtube.com may be edited in any manner including, but not limited to, attaching introductions, ads, product placements, and other video content.
